Globalization and the new economy have subjected organizations to rapidly evolving markets and increasing competitiveness. Under these circumstances, the critical source of competitive advantage often derives not from having the most ingenious product design, the best marketing strategy, or state-of-the-art production technology, but rather from leading a company effectively. Although many organizations recognize the importance of managing their work force effectively, it is remarkable how often firms and managers fail to do so. Mergers and acquisitions imply countless challenges, including legal problems, a lack of understanding of the acquired business and a failure to cover all issues during negotiation. A crossborder merger involves more complex problems: differing cultures and corporate governance, differing forms of business conduct, management styles, legal practices and varying regulatory bodies, to name but a few.
